LLP or Private Limited: Which Suits Your Business?
A plain comparison of LLP and Private Limited Company on ownership, compliance, funding and cost, to help you choose the right structure.
Both an LLP and a Private Limited Company give you limited liability, a separate legal identity and the ability to own property and sign contracts in the business's name. They differ in compliance, ownership and how easily they raise money.
At a glance
| LLP | Private Limited | |
|---|---|---|
| Minimum members | 2 designated partners | 2 directors and 2 shareholders |
| Ownership | Partners, by agreement | Shareholders, by shares |
| Raising equity investment | Difficult | Straightforward |
| Annual compliance | Lower | Higher (board meetings, audits, more filings) |
| Mandatory audit | Only above turnover/contribution limits | Always |
| Typical fit | Professional firms, family businesses, consultancies | Start-ups seeking investors, growing companies |
Choose an LLP if
- You want limited liability with lower running costs
- You do not plan to raise money from investors
- The partners will share profits by agreement
Choose a Private Limited if
- You plan to raise funding or issue shares (ESOPs, angel or VC investment)
- Customers or tenders expect a company structure
- You want easier transfer of ownership
What incorporation needs
Both are incorporated with the Ministry of Corporate Affairs (MCA) and need a Digital Signature Certificate (DSC) for each director or designated partner, identity and address proofs, a registered office proof and name approval. Government fees and stamp duty depend on the state and capital.
Already running a proprietorship? It can be converted, and existing registrations such as GST and Udyam are then updated or re-issued for the new entity.
